A lawful and mutual promise between parties in which one or both failed to perform their promise

A contract is a promise for a promise in which there is a mutual agreement between the contracting parties as its essential terms. The material and essential terms of the contract must be clear and unambiguous.

Should an employer and employee under an employment contract, or a seller or buyer breach their sales contract, the breaching party can be sued for damages by the non-breaching party.

Today, in most commercial settings where there is the sale and purchase of  “goods,” the rules covering breach of contract are controlled by the Uniform Commercial Code (UCC).
